These Terms and Conditions (the “Terms“) govern your access to and use of the website located at purpathproject.com (the “Site“) and any products, services, or content offered through the Site (collectively, the “Services“), operated by Three Peas in a Pod LLC, a Wyoming limited liability company registered to do business in California, doing business as “pur path project” (“pur path project,” “we,” “us,” or “our“). By accessing the Site, creating an account, or purchasing any product, you (“you” or “Researcher“) agree to be bound by these Terms in full. If you do not agree, do not access the Site or purchase any product.
1. Eligibility and Account Creation
1.1 Age Requirement
You must be at least twenty-one (21) years of age to access the Site, create an account, or purchase any product. By accessing the Site, confirming the age prompt, creating an account, or placing an order, you represent and warrant that you are at least 21 years of age.
1.2 Research Capacity Requirement
You must be a qualified institutional researcher, an employee or affiliate of a recognized research institution or laboratory, or an independent research professional with the experience and capacity to safely handle, store, and use research-grade chemical materials. By placing an order, you represent and warrant that you meet this qualification.
1.3 Site Access and Accounts
Certain pages are publicly viewable (such as our homepage, blog, and policy pages). To view product details and pricing, add items to a cart, or make a purchase, you must create a free account and sign in. You confirm you are 21 or older the first time you visit (an age confirmation prompt) and you provide your date of birth when you create your account; we may ask you to re-confirm your date of birth when you sign in. An account also lets you track orders, access Certificates of Analysis (COAs), and participate in our rewards program. You agree to provide accurate, complete, and current information when you create your account and to keep it up to date.
1.4 Account Security
You are responsible for safeguarding your account credentials and for any activity conducted under your account. You agree to notify us immediately at [email protected] if you suspect unauthorized access to your account.
2. Research Use Only (RUO) Acknowledgment
2.1 Strict Research-Use Designation
All products sold by pur path project are designated and supplied strictly for Research Use Only (RUO). Products are intended exclusively for in vitro laboratory and scientific research applications. Products are NOT intended for, and shall NOT be used for:
- Human consumption, ingestion, injection, application, or therapeutic use of any kind
- Animal consumption, treatment, or veterinary application
- Diagnostic, prophylactic, or therapeutic use
- Dietary, nutritional, cosmetic, or related applications
- Compounding, repackaging, or resale for human or animal use
- Any application requiring approval, clearance, or licensure by the U.S. Food and Drug Administration (FDA), the U.S. Drug Enforcement Administration (DEA), or any other regulatory authority
2.2 No Therapeutic Claims
No statement made by pur path project on the Site, in product documentation, in marketing materials, in customer support communications, or elsewhere is intended as medical advice, diagnostic guidance, dosing guidance, treatment recommendation, or product endorsement. Statements on the Site have NOT been evaluated by the FDA or any other regulatory authority and are NOT intended to diagnose, treat, cure, or prevent any disease or condition. Any references to published scientific literature are provided strictly for informational and educational purposes and do not constitute claims about our products.
2.3 Researcher’s Compliance Responsibility
You acknowledge and agree that you bear sole responsibility for ensuring that your handling, storage, and use of any product purchased from pur path project complies with all applicable federal, state, and local laws, regulations, and institutional policies. You agree to use products purchased only for lawful in vitro laboratory research within the boundaries of applicable law.
2.4 Acknowledgment Required for Every Purchase
At checkout, you are required to affirm the Research Use Only Acknowledgment and your eligibility before payment is processed. This affirmation, together with the date and your verification details, creates a compliance record that we maintain.
3. Product Information, Pricing, and Availability
3.1 Product Descriptions
Product descriptions, specifications, and accompanying documentation on the Site are provided for informational purposes only and do not constitute warranties or representations. We make commercially reasonable efforts to ensure accuracy but do not warrant that product descriptions or other content are complete, current, or error-free.
3.2 Pricing
All prices are stated in U.S. dollars and are subject to change without notice. Pricing displayed at the time you submit an order is the binding price for that order, except in cases of obvious error, in which case we reserve the right to cancel the order and issue store credit for any payment received.
3.3 Availability
All products are subject to availability. We reserve the right to limit the quantity of any product available for purchase, to discontinue products at any time, and to refuse any order for any reason at our sole discretion.
4. Orders, Payment, and Order Acceptance
4.1 Order Submission
Submitting an order through the Site constitutes an offer to purchase. We are not bound to accept any order, and an order is not accepted until we send you an order confirmation email and collect payment. Receipt of a confirmation email does not guarantee shipment if subsequent review identifies a compliance, fraud, or supply concern.
4.2 Right of Refusal
We reserve the right to refuse, cancel, or hold any order for any reason at our sole discretion, including but not limited to suspected fraud, prior chargeback history, suspected misuse, suspected resale for human or animal use, incomplete or false account information, or non-compliance with these Terms. We may request proof of institutional or research affiliation before fulfilling any order and may limit order quantities at our discretion. Where an order is refused or canceled, we will issue store credit for any payment received per our Refund Policy unless required by law to refund in another form.
4.3 Payment Methods
We accept credit and debit card payments processed through a third-party PCI-compliant payment processor, and may offer ACH transfer for institutional buyers and cryptocurrency through a third-party gateway. pur path project does not store full payment-card details; all card data is handled by our payment processor.
4.4 Verification
We may, at our sole discretion, request additional verification before fulfilling any order, including IP-address validation, identity verification, or institutional-affiliation verification. Orders may be held pending verification.
4.5 Sales Tax
We collect and remit sales tax in California and any other states where we have a tax obligation. Sales tax is calculated and displayed at checkout based on the shipping destination.
5. Shipping and Delivery
Shipping terms are governed by our Shipping Policy, which is incorporated into these Terms by reference. Title and risk of loss for all products pass to you upon delivery to the common carrier at our fulfillment facility.
6. Returns and Refunds
Returns and refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. Approved refunds are issued as store credit only (no cash, card, or ACH refunds), subject to the conditions and exceptions in the Refund Policy. Cancellations are accepted only prior to fulfillment.
7. Intellectual Property
7.1 Site Content
All content on the Site, including but not limited to text, graphics, logos, product images, descriptions, brand elements, photography, code, and the “pur path project” and “Three Peas in a Pod” names and marks (including the ppp monogram), are owned by or licensed to us and are protected by U.S. and international intellectual property laws.
7.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for the sole purpose of browsing, purchasing, and managing your account. You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any Site content without our prior written consent, except as expressly permitted by these Terms.
7.3 Trademarks
“pur path project,” “Three Peas in a Pod LLC,” the ppp monogram, and all related marks are trademarks of Three Peas in a Pod LLC. Other trademarks referenced on the Site are the property of their respective owners.
8. Prohibited Conduct
You agree NOT to:
- Use the Site or any product for any unlawful purpose
- Use any product for human or animal consumption, treatment, or therapeutic application
- Misrepresent your identity, age, qualifications, or research intent
- Resell, repackage, or redistribute any product for human or animal use
- Attempt to circumvent the age confirmation or any other Site security measure
- Engage in fraudulent transactions, including using stolen payment methods or submitting unauthorized chargebacks
- Scrape, harvest, or systematically extract Site content
- Reverse engineer, decompile, or attempt to derive source code from the Site
- Use automated tools to interact with the Site without prior written authorization
- Interfere with the operation of the Site, including by transmitting malware or probing for vulnerabilities
- Use the Site or our products in any way that violates applicable law, including the Federal Food, Drug, and Cosmetic Act (FDCA) and FDA regulations
Violation of this section may result in immediate termination of your account, forfeiture of any store-credit balance, refusal of pending orders, and reporting to appropriate authorities.
9. Compliance and Reporting
pur path project reserves the right to cooperate with law enforcement, regulatory authorities, and other lawful inquiries. Suspected violations of law, including misuse of products for human consumption or unapproved therapeutic application, may result in termination of your account and reporting of relevant information to appropriate authorities, including the FDA, state regulatory agencies, and law enforcement.
10. Disclaimer of Warranties
THE SITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, pur path project DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:
- WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE
- WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR PRODUCT INFORMATION
- WARRANTIES THAT PRODUCTS WILL ACHIEVE ANY SPECIFIC RESEARCH OUTCOME OR EFFICACY
Certificates of Analysis (COAs) provided with products represent third-party laboratory analysis at the time of testing. We make no warranty regarding the stability, integrity, or performance of any product after delivery, particularly if storage, reconstitution, or handling instructions are not followed.
11. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL pur path project, THREE PEAS IN A POD LLC, OR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, LICENSORS, OR SUPPLIERS BE LIABLE FOR:
- INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES
- LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION
- DAMAGES ARISING FROM YOUR MISUSE OF ANY PRODUCT, INCLUDING USE INCONSISTENT WITH THE RESEARCH USE ONLY DESIGNATION
- DAMAGES ARISING FROM PRODUCTS USED ON HUMANS OR ANIMALS, WHETHER YOU CAUSED THE USE OR THIRD PARTIES DID
OUR TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO YOUR USE OF THE SITE OR ANY PRODUCT, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID TO pur path project FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM, OR (ii) ONE HUNDRED U.S. DOLLARS ($100). ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OR THE PRODUCTS PURCHASED MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM AROSE, OR BE PERMANENTLY BARRED. Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the maximum extent permitted by law.
12. Indemnification
You agree to indemnify, defend, and hold harmless pur path project, Three Peas in a Pod LLC, and their respective members, managers, officers, employees, agents, affiliates, licensors, and suppliers from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:
- Your use of the Site or any product
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your use of any product on humans or animals, or any use inconsistent with the Research Use Only designation
- Your resale or distribution of products to unauthorized parties
- Your misrepresentation of identity, age, qualifications, or research intent
- Any claim by a third party arising from your use of any product
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles.
13.2 Informal Dispute Resolution
Before initiating any formal dispute, you and pur path project agree to first attempt to resolve the dispute informally by contacting [email protected] with a written description of the dispute. The parties will negotiate in good faith for at least sixty (60) days before initiating any formal proceeding.
13.3 Binding Arbitration
If the dispute is not resolved through informal negotiation, you and pur path project agree to resolve any remaining dispute through final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall take place in San Bernardino County, California, or by remote means at the arbitrator’s discretion.
13.4 Class Action Waiver
YOU AND pur path project AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
13.5 Exceptions and Venue
Either party may bring an individual action in small claims court, and either party may seek injunctive relief in court to protect intellectual-property rights. Any legal action not subject to arbitration shall be filed exclusively in the state or federal courts located in San Bernardino County, California, and you consent to the personal jurisdiction of such courts.
14. Modifications to These Terms
We may update these Terms from time to time. The “Last Updated” date at the top reflects the most recent revision. Material changes will be communicated by email to active account holders. Your continued use of the Site after the effective date of any updated Terms constitutes acceptance of the updated Terms.
15. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable while preserving the parties’ intent.
16. Entire Agreement
These Terms, together with the Privacy Policy, Shipping Policy, and Refund Policy, constitute the entire agreement between you and pur path project regarding your use of the Site and supersede all prior agreements, written or oral.
